Internship Agreement

1. Introduction

This Internship Agreement ("Agreement") sets out the terms on which Innovations and More Ltd ("the Company", "we", "us", "our") offers participation in its remote Learning & Development Programme administered through InternPortal.net ("the Programme").

By applying to, accepting a place on, or participating in the Programme, you ("the Participant", "you", "your") acknowledge that you have read and understood this Agreement and agree to comply with it, together with the Company's Privacy Policy, Terms & Conditions, Cookie Policy, Data Retention Policy, and any other applicable programme policies published on InternPortal.net.

2. Purpose

The Programme is a Learning & Development Programme. It comprises structured learning, discovery, observation, reflection and professional development activities relating to digital products, online services and related areas.

The activities are intended as learning and development opportunities for you. They are designed around personal learning, exploration, discovery and reflection, rather than marketing deliverables or commercial services for the Company.

3. Nature of the Programme

The Programme is a short-term, remote, voluntary professional development placement. It is educational and developmental in character.

Unless the Company expressly agrees otherwise in writing, participation is unpaid.

Typical activities may include observing publicly available digital products and online services, exploring how they present information, recording personal observations, and submitting short written reflections through InternPortal.net. You are not required by this Agreement to create marketing campaigns, produce marketing materials for the Company, generate customers or sales, perform SEO or growth work for the Company, provide commercial services, or produce business deliverables for Innovations and More Ltd.

The specific activities available to you may vary. The Company does not guarantee that any particular task, project or activity will be available throughout the Programme.

4. Professional development

Participation is intended to help you develop practical understanding, professional habits and familiarity with digital products and online services. Feedback may be provided through InternPortal.net and related communications, at the Company's discretion and subject to operational capacity.

5. Eligibility

You must provide accurate information when registering and applying. You must be capable of participating remotely and of complying with this Agreement and all applicable programme policies. The Company may refuse, delay or withdraw acceptance where information is incomplete, inaccurate, or where participation would be inappropriate.

Submission of an application does not guarantee acceptance onto the Programme.

6. Unpaid status

Unless the Company expressly agrees otherwise in writing, participation in the Programme is unpaid. Any recognition, certificate or discretionary incentive, if offered at all, is separate and is governed by any Recognition & Incentive Terms or other terms published by the Company.

7. Status of this Agreement

This Agreement records the terms on which the Company offers participation in the Programme. It does not itself determine your legal employment or worker status, which is a matter of applicable law and the facts of the arrangement.

Acceptance onto the Programme is not a job offer. You must not represent yourself as an employee, partner, agent or authorised spokesperson of the Company unless the Company has expressly authorised that in writing.

Nothing in this Agreement creates a partnership, joint venture, or agency relationship.

8. No guarantee of employment or future opportunity

Completion of, or participation in, the Programme does not guarantee employment, future work, a further internship, consultancy, paid engagement, a reference, payment, incentives, a contract, or any other future opportunity with the Company.

Any future opportunity, if considered at all, remains entirely at the Company's discretion and would require separate written agreement.

9. Duration, format and expected participation

The Programme is ordinarily designed to last approximately four weeks and is completed remotely, unless the Company states otherwise for a particular placement.

You are expected to participate professionally, communicate promptly and courteously, engage with assigned learning and discovery activities, and make reasonable efforts to meet programme milestones communicated through InternPortal.net. Flexible participation may be permitted subject to programme requirements.

Nothing in this Agreement creates contractual working hours, a minimum number of hours, fixed shifts, or an obligation to be available at particular times as an employee or worker. Participation expectations are educational and programme-related only.

10. Confidentiality

You must keep confidential all non-public information relating to the Company and the Programme, including (without limitation) business information, credentials and access details, internal documents, unpublished materials, intellectual property and trade secrets, and InternPortal.net content that is not publicly available.

You must not disclose such information to third parties without the Company's prior written permission, except where disclosure is required by law. You must not upload or input confidential information into public or third-party AI systems or other tools without the Company's prior written permission.

These confidentiality obligations continue after your participation ends.

11. Intellectual property

You retain ownership of your pre-existing materials (for example, your CV) that you upload solely for application or profile purposes, and you grant the Company a licence to store and use those materials for programme administration as described in the Privacy Policy and related policies.

Your personal learning reflections and similar submissions remain yours. You grant the Company a licence to store, review and use those submissions for programme administration, assessment of completion, security, compliance and record-keeping.

Materials that the Company itself provides (including InternPortal.net content, task instructions and Company materials) remain the Company's property.

12. AI usage

Where AI tools are used in connection with Programme tasks, you must use them responsibly and in accordance with programme policies; not submit unlawful, harmful, infringing or misleading content; not input confidential Company information into public AI systems without prior written permission; and comply with any originality or AI declarations presented on InternPortal.net at the point of submission.

You remain responsible for the accuracy, originality, lawfulness and professionalism of everything you submit.

13. Acceptable use and security

You agree to use InternPortal.net and to participate in the Programme lawfully, professionally and ethically. Without limitation, you must not misuse the portal or attempt to compromise its security; share or fail to protect your passwords; impersonate another person; engage in illegal activity, harassment, discrimination, bullying, spam or abusive conduct; or upload illegal, fraudulent, defamatory, malicious, misleading, copyright-infringing or harmful content.

You are responsible for activity under your account.

14. Participant responsibilities

You are responsible for maintaining the confidentiality of your login credentials; complying with programme policies; submitting work that is your own responsibility and that meets originality requirements presented at submission; acting professionally in communications connected with the Programme; and not representing yourself as an employee, agent or authorised spokesperson of the Company.

15. Company responsibilities

The Company will use reasonable efforts to administer the Programme through InternPortal.net, to provide access to assigned learning activities where applicable, and to review submissions in the ordinary course of operations. The Company does not guarantee uninterrupted availability of InternPortal.net or of any particular mentor, timeline or outcome.

16. Data protection

The Company processes personal data in connection with the Programme as described in the Privacy Policy and Data Retention Policy. This Agreement does not replace those policies.

By participating, you acknowledge that your account, profile, CV, submissions, feedback, agreement acceptance records, audit logs and related records may be processed for programme administration, security, compliance and legitimate business purposes, subject to UK data protection law including the UK GDPR.

You may request account deletion through your account settings where available, as explained in the Data Retention Policy.

17. Code of conduct

You must treat others with respect and must not engage in harassment, discrimination, bullying, or other conduct that could harm the Company, its users or reputation. Breaches may result in suspension or termination of participation and, where appropriate, refusal of certificates or other recognition.

18. Certificate of Completion

A Certificate of Completion may be issued subject to successful completion of the Programme, as determined by the Company. The certificate is intended to record completion of a four-week Learning & Development Programme comprising structured learning, discovery and reflection activities relating to digital products, online services and professional development. It is not a professional qualification and does not constitute a reference, employment, or any other entitlement.

A professional reference, if provided at all, remains entirely at the Company's discretion and is never guaranteed.

19. Reservation of rights

Where reasonably necessary for operational, legal, security or business reasons, the Company may update, withdraw or change projects, tasks and programme requirements; update programme policies and this Agreement; suspend accounts or access; and amend, suspend, withdraw or discontinue the Programme.

Material updates to this Agreement will be reflected by an updated version number and date on this page. Where a new agreement version applies to you, continued participation may require acceptance of that version through InternPortal.net. Participants who have already accepted an earlier recorded version that the Company continues to treat as valid are not required by this page to re-accept solely because a later version has been published.

20. Suspension and termination

The Company may refuse, suspend or terminate your participation where it reasonably considers this appropriate, including for breach of this Agreement or programme policies, misconduct, security concerns, non-participation, unlawful activity, or other legitimate operational, legal or business reasons, and in accordance with applicable law. You may discontinue participation by ceasing use of the Programme and, where appropriate, contacting the Company.

21. Limitation of liability

InternPortal.net and the Programme are provided on an "as is" and "as available" basis to the fullest extent permitted by law. Subject to the remainder of this clause, the Company shall not be liable for indirect, incidental, special or consequential losses, or for loss of opportunity, arising from your participation.

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited under the laws of England and Wales.

22. Governing law and jurisdiction

This Agreement is governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over disputes arising out of or in connection with this Agreement, subject to any mandatory rights you may have under the laws of your place of residence.

23. Severability

If any provision of this Agreement is held to be invalid, unlawful or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed. The remaining provisions shall continue in full force and effect.

24. Entire agreement

This Agreement, together with the programme policies expressly incorporated by reference (including the Privacy Policy, Terms & Conditions, Cookie Policy and Data Retention Policy), constitutes the entire agreement between you and the Company in relation to your participation in the Programme, and supersedes prior discussions or representations relating to that subject matter, except that nothing in this clause limits liability for fraud or fraudulent misrepresentation.
